Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Koduo, a marketplace operated by Adyon Technologies, a sole proprietorship based in Delhi, India (“Koduo”, “we”, “us”, “our”). By accessing or using Koduo (the “Service”), you agree to be bound by these Terms.
If you are using Koduo on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case, “you” refers to that entity.
1. The Service
Koduo is a marketplace that helps companies ship code by routing software tasks to either an AI lane (Koduo opens a pull request) or a developer lane (independent developers in our marketplace ship the task). Tasks are scoped through specs generated by Koduo from a company-supplied GitHub issue or written brief, and delivered via pull requests on the company’s GitHub repository.
The Service includes:
- A web dashboard for posting tasks, reviewing specs, choosing lanes, and managing payouts;
- A GitHub App (
koduo-bot) that connects to company repositories; - A marketplace surface where eligible developers can claim and solve tasks;
- Payment and payout flows for task bounties.
2. Eligibility
To use Koduo as a company, you must be at least 18 years old and capable of forming a binding contract. To use Koduo as a developer, you must be at least 18 years old. Developers paid in INR through Razorpay must be Indian residents; international developers are paid through a manual rail at our discretion until a global payout provider is integrated.
We may suspend or terminate accounts that we reasonably believe do not meet these eligibility requirements.
3. GitHub App scope
When you install koduo-bot on one or more repositories, you grant Koduo the following access to those repositories only:
- Read: repository metadata, file contents (on demand for tasks you create), issues, and pull requests;
- Write: pull requests opened on tasks you initiate, and comments on those pull requests.
We do not access repositories outside of tasks you create. We do not access repositories on which koduo-bot is not installed. You can revoke koduo-bot’s access at any time from your GitHub settings; revocation will not affect lawful processing that occurred before revocation.
4. Tasks, payments, and payouts
Task creation. When you create a task, you select a bounty amount and pay it to Koduo up front, to have the task completed.
Payout on merge.When a pull request that resolves the task is merged into your repository, Koduo pays the solver the bounty less Koduo’s fee — either the developer who shipped the merged pull request, or, in the AI lane, retained by Koduo against model costs.
Refund window. If no pull request that resolves the task has been merged within forty-five (45) days of task creation, you may request a full refund, less any third-party processor fees that are non-recoverable. After forty-five days, you may also extend the task at our discretion instead of requesting a refund.
Payout rails. Payouts to Indian developers are made through Razorpay in INR. Payouts to non-Indian developers are made through a manual rail (bank transfer or equivalent) at our discretion until a global payout provider is integrated; we may delay or decline payouts where compliance with applicable law requires it.
Disputes over merge eligibility. If a developer believes a pull request that should have been merged was rejected in bad faith, or a company believes a merged pull request did not in fact resolve the task, see Section 8 (Dispute resolution).
5. AI-generated code and intellectual property
Ownership of merged code. Code that is merged into your repository — whether produced by the AI lane or the developer lane — is owned by you, on the same basis as if your employee had written it. Koduo retains no rights in the merged code itself.
Use of task metadata by Koduo. Koduo may use task titles, anonymized specifications, cost data, and aggregate performance signals from your tasks to improve the Service and for marketing purposes (e.g., aggregate stats, case studies with your consent). Koduo will not attribute specific tasks to your organization in marketing materials without your prior written consent.
Closed-source and NDA-tagged tasks. For any task you mark as closed-source, or any task on which a Koduo NDA is in force, the following apply absolutely:
- Zero training-data use. Koduo will not use any source code, specifications, or solver-produced content from the task to train, fine-tune, or evaluate any AI model, internally or by any third party.
- No metadata extraction beyond billing. Koduo will not extract metadata from the task for any purpose other than what is required to operate the Service for you (e.g., billing, audit, dispute resolution).
- These restrictions survive termination of these Terms.
6. Acceptable use
You agree not to:
- Use Koduo to build, train, or operate a service that competes with Koduo;
- Scrape, crawl, or otherwise extract the task feed or marketplace data at scale;
- Post fake or bait tasks (tasks you do not intend to fund or merge);
- Use any sandbox access granted to you for purposes outside the scope of the task you claimed;
- Attempt to bypass payment or platform fee mechanisms (including off-platform side payments to circumvent the platform fee);
- Reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent expressly permitted by applicable law.
We may suspend or terminate accounts that breach this section.
7. Your content and licenses
Tasks, comments, and other materials you submit to Koduo remain yours. You grant Koduo a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, and display that material to the extent necessary to operate the Service. This license terminates when the material is deleted, except where retention is required by law or by Section 5 (record of merged code).
8. Dispute resolution
Internal mediation first. Disputes between a company and a developer over a task — including over whether a pull request resolved the task, whether a refund is owed, or whether a payout is owed — must first be raised with Koduo at the contact address in Section 13. Koduo will mediate in good faith.
Adyon’s call is final under ₹50,000. For disputes involving amounts up to ₹50,000 (Indian rupees fifty thousand), Adyon’s decision after mediation is final and binding on both parties, subject only to rights that cannot be waived under applicable law.
Arbitration above ₹50,000. Disputes involving amounts above ₹50,000 that are not resolved by mediation within thirty (30) days will be referred to arbitration before a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Delhi, India; the language is English.
9. Governing law
These Terms are governed by the laws of India. Subject to Section 8 (Dispute resolution), the courts at Delhi, India have exclusive jurisdiction.
10. Termination
Either party may terminate these Terms at any time on thirty (30) days’ written notice through the contact address in Section 13. We may suspend or terminate access immediately for breach of Section 6 (Acceptable use), for non-payment, or where required by law.
On termination: (a) tasks where a pull request was merged before termination are paid out to the solver under Section 4; (b) payments for open tasks with no merged pull request are refunded to the company, subject to Section 4.
11. Disclaimers and limitation of liability
Disclaimer.The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Koduo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Koduo does not warrant that AI-generated specifications or AI-generated code will be defect-free, fit for purpose, or free of intellectual-property claims; you are responsible for reviewing all PRs before merging.
Cap.To the maximum extent permitted by applicable law, Koduo’s total aggregate liability arising out of or related to these Terms or the Service in any twelve-month period will not exceed the greater of (a) the amounts you paid to Koduo in platform fees during that period, or (b) ₹10,000.
Carve-outs.The cap in this Section 11 does not apply to (i) liability for infringement of third-party intellectual-property rights caused by code Koduo’s AI lane wrote and Koduo represented as clear to merge, or (ii) liability arising from Koduo’s gross negligence or willful misconduct.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email to the address on file at least fifteen (15) days before the change takes effect. Non-material changes (clarifications, typos, formatting) take effect on publication. Continued use of the Service after the effective date constitutes acceptance.
